Pat brings a unique business-oriented perspective to his corporate and tax law practice. He was a CPA with a Big Eight accounting firm; the General Counsel, CFO and head of investor relations for a public company; and he served as the Chair of the Audit Committee, and a member of the Compensation Committee, of a private technology company for over 15 years, until its sale in 2016.

Areas of Expertise
In addition to corporate transactions and taxation, including mergers, acquisitions and divestitures, Pat’s primary areas of expertise include corporate governance; partnerships, limited liability companies and joint ventures; executive compensation arrangements; and corporate, partnership and real estate taxation.

Georgia Limited Liability Company Act
Pat served as the Co-Chair of the Georgia Limited Liability Company Committee, which drafted the Georgia Limited Liability Company Act. A significant portion of his practice involves working with limited liability companies, including dealing with the myriad tax issues attendant thereto.

Mediation and Arbitration
As a mediator and arbitrator, Pat helps to resolve commercial and business disputes. These issues range from contract controversies, shareholder disagreements and post-closing purchase price adjustments, to indemnification claims, business divorces, and valuation.

When he’s not working hard
Pat loves spending time with his family, and rooting for the Wake Forest Demon Deacons. He also serves on the Board of Directors, and was Chair for 10 years, of the Cancer Support Community-Atlanta, Inc. Following its merger with Gilda’s Club, Cancer Support Community is the largest provider of psychosocial cancer support in North America.
